These Terms of Service ("Terms") govern your access to and use of the website, client portal, and software services provided by Solidslate Global Services Ltd. By accessing our systems, you agree to be bound by these Terms and our Privacy Policy.
1. Scope of Services
Solidslate provides software engineering, GovTech consultancy, and digital infrastructure management. Specific deliverables, timelines, and payment terms for projects are governed by separate Service Level Agreements (SLAs) or Master Services Agreements (MSAs) signed by the client. In the event of a conflict, the SLA/MSA takes precedence over these web terms.
2. Intellectual Property Rights
Unless otherwise stated in a specific client contract:
- Our IP: Solidslate retains all rights to its pre-existing code libraries, proprietary frameworks, and development tools used to build client solutions.
- Client IP: Clients retain full ownership of their specific business data, logos, and content uploaded to our systems.
- Deliverables: Ownership of final custom software deliverables is transferred to the client upon full payment of fees, subject to license restrictions on underlying proprietary frameworks.
3. User Obligations
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of our proprietary platforms.
- Use our systems to transmit unauthorized or malicious code (viruses, worms, etc.).
- Attempt to gain unauthorized access to the Client Portal or other user accounts.
4. Limitation of Liability
To the maximum extent permitted by Nigerian law, Solidslate Global Services Ltd shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our website. Our liability for direct damages shall be limited to the professional fees paid by you to us in the 12 months preceding the claim.
5. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Abuja, FCT.
